A RESOLUTION TO APPROVE THE ROAD USE MAINTENANCE AGREEMENT (RUMA)
THIS ROADWAY USE, REPAIR, AND MAINTENANCE AGREEMENT, is made
and entered into this 9th day of January, 2019, by and between CHIPPEWA TOWNSHIP, OHIO, acting by and through its Board of Trustees, whose address is 14228 Galehouse Road PO Box 265, Doylestown, OH, 44230, who have signed this agreement, hereinafter jointly referred to as “OWNER,” and AMERICAN TRANSMISSION SYSTEMS, INCORPORATED, A FIRSTENERGY COMPANY, whose address is 76 South Main Street, Akron, OH 44308, its employees, agents and representatives as well as the Operator’s contractors, subcontractors and their respective employees, agents and representatives, hereinafter collectively referred to as “OPERATOR.”
Whereas, Owner has control over township roads within its jurisdiction and is required by law to keep such roads in good repair;
Whereas, Operator intends to perform transmission line work at locations throughout Chippewa Township, Ohio (the “Project Site(s)”). Each Project Site will be identified in Exhibit A and includes, but is not limited to, all equipment, facilities, and impoundments necessary for the development, operation, and/or maintenance of the sites during construction and completion ;
Whereas, in connection with the development, construction, operation, or maintenance of a Project Site, it will be necessary for Operator, its employees, agents and representatives, as well as the Operator’s contractors, subcontractors and their respective employees, agents and representatives to:
1. Transport heavy, overweight, and/or oversized vehicles, or combination of such
vehicles, or multiple-trip/repetitive use vehicles over designated haul routes on roads located in the township, which may in certain cases be in excess of the design limits of such roads.
2. Make certain temporary and/or permanent modifications and improvements to such roads and bridges (such as widening, reconstructing, crest corrections, culvert and bridge reinforcements, pavement or base improvements) to permit transport of equipment and material;
3. Encroach within the publicly owned rights-of-way to permit

such modifications or improvements;
Whereas, Operator acknowledges that it will conduct the above road transport and road improvement activities related to properly permitted overweight and oversized vehicles or multiple-trip/repetitive use vehicles through this mutual agreement to manage potential excess damage and necessary repairs to the roads and bridges caused by such permitted travel; and
Whereas, Owner acknowledges that such consent and permission is contemplated under Ohio Revised Code §4513.34 with conditions as mutually agreed upon by the parties to insure the integrity and public use of these roads, bridges, culverts, and drains;
Now, therefore, in consideration of the good faith performance of each party of the mutual covenants hereinafter set forth, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
Operator acknowledges that it may not othe1wise transport overweight and/or oversized vehicles, a combination of such vehicles, or multiple-trip/repetitive use vehicles, on roads located in the county or make any modifications, maintenance, or improvements to such roads without the express consent and permission of the Owner, who has exclusive authority and control over all township roads.
Operator shall provide Owner, and the County Engineer, with the following information at the time of signing this Agreement and prior to utilizing any roads or bridges for a Project Site, which will be attached hereto and referred to as Appendix A:
1.) Location of all proposed Project Site(s), including location of all proposed transmission line work and associated easements within county and township road rights-of-way;
2.) Location of all lay-down yards associated with each Project Site;
3.) Designated haul routes;
4.) Schedule of events;
5.) List of anticipated vehicles (with weight and number of vehicles by vehicle type) and dates of transport;
6.) List of subcontractors with contact information.
As changes are made, Operator shall update Appendix A as necessary to maintain accuracy, as well as upon the request of Owner, its designee, or as otherwise required under this Agreement.
Operator further agrees to be bound by the following conditions.
Prior Conditions of Roads:
With respect to any county or township road that is identified in Appendix A hereto, and as modified, together with appurtenant bridges, culverts, berm, road shoulders, intersections, ditch, guardrail, traffic control device, road marking/striping, and all other township owned or controlled property, collectively referred to as “Designated Roads” hereafter, the Operator will video and create a detailed video record and textual narrative of the pre-existing condition of such Designated Roads. Operator shall use a professional engineer licensed in the State of Ohio for said task and will contact the Chippewa Road Superintendent to coordinate performing any such road analysis. Said video and textual report shall be provided to the Wayne County Engineer’s Office for review and approval on behalf of Owner. Review shall be concluded within thirty (30) days of submission by Operator. Once approved, this video and textual narrative will be considered the Road Condition Report. If such report is deemed deficient or otherwise inaccurate by the Wayne County Engineer, Owner (or its representative from the County Engineer’s Office) and Operator shall promptly meet to resolve any issues. Operator shall not commence any improvement to such Designated Roads or use such Designated Roads for operation of a motor vehicle or other equipment requiring an overweight/oversized permit and/or use such Designated Roads for transmission line work or transportation activities until such approval from Owner is received.
Pre-Project Road Improvements:
Prior to Operator’s use of the Designated Roads, and after

review of the Road Condition Report, Operator and Owner must determine if any improvements need to be made prior to the use of the Designated Road. Owner hereby acknowledges and agrees and consents to Operator’ s completion of such modifications and permanent improvements to such Designated Roads, at Operator’s sole expense, as are reasonably necessary to accommodate the then-anticipated use of such Designated Road by Operator. Such modifications and permanent improvements may include the widening of certain roads, the strengthening and/or
spanning to existing culverts and bridges, and other improvements and modifications reasonably necessary to accommodate the transport of heavy equipment, materials, and/or multiple heavy loads on the Designated Roads, to the extent permitted within the existing road right-of-way and under Ohio law.
Operator agrees that all modifications and improvements to Designated Roads, including any intersections or comer improvements shall comply with all applicable engineering standards and stamped and signed engineering drawings, which must be submitted by Operator to the Chippewa Road Superintendent for approval prior to the commencement of the modifications and improvements. Said plans depicting modifications and improvements must be prepared by a professional engineer licensed in the State of Ohio.
Operator agrees that any such modifications and pe1manent improvements must be approved by the Owner prior to commencement of any work.
Use of Designated Roads by Operator:
In connection with the development, construction, operation and maintenance of all Project Site(s), Owner hereby acknowledges and agrees that Operator may use the Designated Roads at any time not otherwise prohibited under issued permits or applicable laws. Such use may include the movement and transport of heavy equipment, materials, and/or multiple heavy loads to and from the Project Site(s). However, Operator agrees that it will endeavor, to the extent practical, to use Designated Roads in a manner and at times that will minimize the impact to and inconvenience to the traveling public.
This Agreement does not extinguish Operator’s duty to obtain an overweight/oversized vehicle permit from the Township Road Department. If required by permit conditions, such vehicles shall be esc01ted along the Designated Roads by local law enforcement officers, whom Operator is responsible for contacting and making such arrangements at the Operator’s expense.
Operator agrees to use only Designated Roads. If Operator desires to use roads not already designated, Operator shall submit an updated version of Appendix A to the Owner that shall include such additional roads and, to the extent appropriate, the Road Condition Report shall be revised and supplemented before use of the roads begins. Said roads will be improved under the foregoing “Pre-Project Road Improvements” section, if necessary.
Thaw Load Reductions:
Per Ohio Revised Code Section 5577.07, legal load limits on roads may be reduced when thaw or excessive moisture renders a road insufficient to bear the traffic thereon. Vehicles exceeding reduced limits during this time are prohibited and Operator will be required to obtain an additional overload permit during this time.
Damages and Repairs to Roads:
If any township roads, or related appurtenances, including but not limited to bridges, culverts, signage, or other road fixtures, or any county or township owned drainage tile or open ditch, is damaged by Operator, its contractors, subcontractors, or their respective employees, agents, or representatives, Operator shall repair (or caused to be repaired) such damage using an ODOT (Ohio Department of Transportation) approved contractor. Operator shall rely upon ODOT’s “Construction and Material Specifications” latest edition and specifications required by the Owner to determine whether the repair has been performed in accordance with the standards set forth. Subject to considerations of safety, the presence of emergency conditions, and the costs of such repairs, any repair and restoration

shall commence and be completed promptly by Operator, at Operator’s sole expense. Following completion of such repair, Owner, acting through the Chippewa Road Superintendent, and Operator, shall jointly inspect the repair to confirm that the repair has been completed to the satisfaction of the Chippewa Road Superintendent. Damages to any township owned drainage or open ditch may also include damages occurring within the township’s maintenance right-of-way, if such damages deny, impede, or affect the Owner’s ability to exercise drain maintenance within its right-of-way and results in additional costs to the Owner. Operator is required to comply with Ohio’s Prevailing Wage requirements as applicable.
Excessive Damages :
Upon written notice from the Chippewa Road Superintendent, acting on behalf of Owner, stating that excessive damage has occurred because of Operator’s road use, Operator will immediately make additional improvements to strengthen the road base and
surface. All transmission line work, and all permits shall be deemed suspended, until repairs are done to correct the damage.
Completion of Transmission Project:
After completion of any pa1ticular transmission line work at a Project Site, Operator shall notify the Chippewa Road Superintendent in writing that said project is complete. The Chippewa Road Superintendent (or designated consultant), acting on behalf of Owner, will inspect the Designated Roads for road damage, including damage to road base, culverts, bridges, ditches, guardrails, signs or other road appurtenances. The Chippewa Road Superintendent will provide a list of damages to Operator, who shall repair said roads, at Operator’s sole expense, to the satisfaction of the Chippewa Road Superintendent. Operator shall make the necessary repairs based on ODOT specifications and as required by the Owner. Operator will notify the Chippewa Road Superintendent when repairs are to be made and the name of the contractor performing such repairs. The work shall be completed within a two (2) month period after a list of damages is provided to Operator, unless an extension is otherwise obtained from the Chippewa Road Superintendent in writing.
Operator shall provide a materials list and a written notice to the Chippewa Road Superintendent that the work has been completed and provide proof of payment for the work pe1formed.
Upon receipt of the completion notice to the Chippewa Road Superintendent, the Owner,
will have thirty (30) days to accept or reject the above work. If a rejection notice is tendered by the Owner, Operator will make the necessary repairs as identified in the rejection notice within time specified by the Owner.
After the above repairs are made, Operator will insure that the final condition of the road surface meets or exceeds the original condition.
Operator is required to comply with Ohio’s Prevailing Wage requirements as applicable.
Failure to Repair:
If Operator fails to repair any damage to township owned property that Operator is required to repair under this Agreement, Owner may request in writing that Operator pedo1m such repair in accordance with the provisions of this Agreement. If Operator fails to commence such repairs within ten ( 10) days and thereafter to maintain reasonable progress in the performance of such repairs, then the Chippewa Road Superintendent shall consult with Owner and Owner may authorize such repairs at expense of Operator. In this case, Owner may make or arrange such repairs and shall invoice Operator for costs incurred in connection with said repairs. Operator shall pay such invoiced amounts within thirty (30) days following receipt of such invoice.
If Operator does not fulfill its obligation to repair the Designated Roads within the timeframes stated in this Agreement, all existing permits obtained by Operator may be considered suspended and Owner may stop all ongoing activities and/or new transmission projects.
Obey all Traffic Laws:
All vehicles driven by Operator and its contractors and

subcontractors and each of their respective agents, employees, and representatives shall abide by all local, state, and federal speed limits as posted or, if not posted, as otherwise applicable.
All vehicles driven by Operator and its contractors and subcontractors and each of their respective agents, employees, and representatives shall comply with all reasonable requests of the Chippewa Road Superintendent to take necessary precautions designed to protect the traveling public. These precautions include the immediate removal of dirt, mud, and debris carried onto the said road by trucks and trailers hauling material to the Project Site(s) and/or lay-down yards. Any road clearing activity must be performed by Operator on an ongoing basis with or without notice from the Chippewa Road Superintendent.
Signage:
During activity at the Project Site(s), Operator and its contractors and subcontractors and each of their respective agents, employees, and representatives shall be responsible for placing and maintaining signage in compliance with applicable provisions of the Ohio Manual of Uniform Traffic Control Devices, as approved by the Owner, or Owner’s designee.
Notice of Road Closures:
Operator shall provide to the Chippewa Road Supe1intendent,
and any other agency or office reasonably designated by Owner,
1.) notice of Designated Road closures (including time and expected duration) by fax and e-mail five (5) business days in advance of such closures, and
2.) current maps of the Designated Roads.
Operator shall designate a person to coordinate the installation and/or transportation related activities of Operator related to the Project Site(s).
Operator agrees that roads shall not be closed for routine hauling activity.
If Owner, or its designee, objects to such road closures, Owner, or its representative, must notify Operator within three (3) business days after receiving said notice and current maps. Owner may object to such closure or limited access on grounds of public safety or substantial public inconvenience. The parties shall cooperate reasonably to find an alternative to the planned closure or limited access or otherwise minimize disruption to road traffic and Operator construction activities and schedule. If Owner, or its designee, does not object within such time, Owner shall be deemed to have no objection to such planned closure.
This Agreement shall not prohibit Owner from closing a road to any vehicle if such closing is authorized by law and is necessary for safety or is temporary closing due to climatic conditions or an act of God or war.
Weight of Vehicles:
Vehicles used by Operator, its contractors, subcontractors, and each of their respective agents, employees, and representatives shall comply with all load limits and obtain applicable permits for any vehicle in excess of permitted load limits.
Temporary Improvements:
In the event that temporary modifications are made by Operator to Designated Roads, upon completion of the Project Site, all such temporary improvements shall be removed by Operator. However, upon written request from Owner prior to removal, any such temporary improvement may permanently remain as property of the Township, or as a part of a Township right-of-way. Operator is required to comply with Ohio’s Prevailing Wage requirements as applicable.
Dust Control:
During transmission line work, Operator shall use a commercially recognized dust palliative to control the airborne dust created or contributed to by Operator and its contractors and subcontractors and each of their respective agents, employees, and

representatives on any Designated Roads. Watering alone shall not be considered to be sufficient dust control, unless agreed upon in advance by Owner. Owner, or its designee, may provide a written request to Operator for additional dust control measures.
The dust control measures required by this Agreement and requested by the Owner, or Owner’s designee, shall be applied within twenty-four (24) hours of written notification.
Environmental Laws:
Operator represents, warrants, and agrees that it shall not cause or contribute in any way to any petroleum, chemical or other improper release, or portions thereof, on any of Owner’s property or interest. Operator further represents, warrants and agrees that (a) it will comply with all environmental laws, regulations, and orders, (b) it shall be fully liable for such release and the spreading or migration thereof, (c) it shall immediately cure such release to the furthest extent possible, and (d) it shall indemnify and defend Owner, its officers, employees, affiliates, agents, and representatives to the furthest extent permitted by law for such liability, if any.
Performance Assurance Bond:
Operator shall post a bond to cover the costs of any damages made to the roads, bridges, right-of-way, ditches, traffic control devices, and other township property used by Operator. The amount of the bond shall be $150,000 of surety coverage per mile of the Designated Roads affected by Operator and shall include an additional $500,000 of surety coverage for any bridge utilized by Operator, its contractors, subcontractors, and all respective agents, employees, representatives, etc.
A lesser surety amount may be provided if determined by Owner to be sufficient to compensate for potential damage and prior written approval
of the Owner is obtained.
The Performance Assurance Bond shall be made payable to Chippewa Township and must be issued by a corporation licensed to do business in Ohio and approved by the Owner. Said bond amount may be posted in the form of cash deposit. The Performance Assurance Bond shall remain in full force and effect while transmission line work is underway and shall continue to be in full force and effect for two (2) years after the final completion at the Project Site(s) and final restoration of the areas disturbed by the construction. The Performance Assurance Bond is intended to provide the Owner with assurance that it will be paid by Operator for its obligations under this Agreement, but shall not in any way limit the amount of Operator’s obligations or liabilities under this Agreement.
Draw Conditions:
Owner may draw upon the Performance Assurance Bond only if and to the extent that Operator fails or refuses to perform repairs or to pay the costs of performing repairs. Owner may draw upon the Performance Assurance Bond only after Owner, or the Chippewa Road Superintendent acting on behalf of Owner, certifies that the following conditions have been met:
a.) That Owner has complied with all requirements under this Agreement; and
b.) That Operator has failed or refused to perform repairs or to pay the costs of performing repairs pursuant to this Agreement; and
c.) That Owner has performed such work and/or had such work performed; and
d.) That Owner has incurred expenses for the performance of such work; and
e.) Owner has evidenced to Operator the amount of such expenses.

If the Township draws upon the Performance Assurance Bond, Owner shall provide a full accounting of the amount of the draw(s) and the costs of repairs to Operator. Operator shall replenish any withdrawn funds to maintain a balance equivalent to the original

amount of the Performance Assurance Bond.
Indemnity and Hold Harmless Provision:
Operator shall indemnify, defend, and hold Owner harmless for any and all claims, demands, suits, actions, proceedings, or causes of actions brought against Owner, its officers, employees, affiliates, agents, and representatives of the foregoing for any losses, claims, costs, expenses, judgments, subrogations, demands, suits, actions, liabilities, obligations, proceedings, causes of actions, fines, penalties, expenses, or any other damages, including reasonable attorneys’ fees and expenditures, resulting from personal injury, property damage, or damage to third persons or their property, arising out of or incident to the performance or non-performance of the terms of this Agreement.
Operator assumes all liability for Operator, its contractors, subcontractors, and each of their respective agents, employees, and representatives working on behalf of Operator and/or the transmission structure installations, maintenance and/or repair.
Letter of Authority:
Upon the request of Operator, Owner shall countersign a letter for use by Operator evidencing whether the movement and transportation of overweight and oversized vehicles, equipment, loads and other necessary equipment and materials to and from project sites have been properly permitted by Owner and that a performance assurance bond has been received by Owner.
Reimbursement:
Operator shall be required to reimburse Owner for any expenses that are reasonable, direct, reasonably documented, and which Owner, or its designee, has incurred.
Governing Law – State of Ohio:
This Agreement shall be governed by, and construed in accordance with, the laws of the State of Ohio, without regard to the conflict of laws provisions in such state. Any disputes arising under this Agreement between the parties shall be decided by a court of competent jurisdiction in Wayne County, Ohio.
Amendments to Agreement:
This Agreement shall constitute the complete and entire agreement between the parties with respect to the subject matter hereof. No prior statement or agreement , oral or written, shall vary
or modify the written terms hereof. This Agreement may be amended only by a written agreement signed by the parties.
Notices:
All notices, requests, demands and other communications required or permitted to be given by the parties hereunder shall be in w1iting and shall be delivered in person or by facsimile, or by first class certified mail, postage and fees prepaid, to the address of the intended recipient as set forth below. All notices, requests, demands and other communications shall be sent to the following addresses:

The foregoing addresses may be changed by any party by giving written notice to the other party as provided above.
Rights and Waivers :
The failure of a party to exercise any right under this Agreement shall not, unless otherwise provided or agreed to in writing, be deemed a waiver thereof; nor shall a waiver by a party of any provisions hereof be deemed a waiver of any future compliance therewith, and such

provisions shall remain in full force and effect.
Severability:
In the event that any clause, provision or remedy in this
Agreement shall, for any reason, be deemed invalid or unenforceable, the remaining clauses and provisions shall not be affected, impaired or invalidated and shall remain in full force and effect.
The status of Operator, its contractors, subcontractors, and all respective agents, employees, representatives, etc. under this Agreement shall be that of an independent contractor and not that of an agent of Owner. In accordance with such status, Operator, its contractors, subcontractors, and each of their respective agents, employees, and representatives, etc. shall at all times during the term of this Agreement conduct themselves in a manner consistent with such status and shall neither hold themselves out as, nor claim to be acting in the capacity of, officers, employees, agents, representatives or servants of Owner. As an independent contractor, Operator, its contractors, subcontractors, and all respective agents, employees, representatives, etc., shall accept full responsibility for providing to its employees all statutory coverage for worker’s compensation, unemployment, disability or other coverage required by law.
Termination and/or Abandonment of Transmission Project:
If Operator, its contractors, subcontractors, and all respective agents, employees, representatives, etc., abandons or terminates construction, maintenance, repair, and/or use of the Project Site(s), Operator shall provide written notice to Owner of such abandonment or termination of its activities. In the case of such event, this Agreement shall terminate one (1) year thereafter, or such earlier time as the parties shall otherwise agree to, with the exception of the extension of the performance bond for two (2) years as heretofore provided for in this Agreement.
Termination of Ag reement:
Except as heretofore provided for, this Agreement shall remain in full force and effect one
(1) year from the date contained herein. It shall continue to be in full force and effect unless terminated prior to one (I ) year by one of the parties. A party wishing to terminate this Agreement shall provide written notice to the other party of its intent to terminate at least thirty (30) days in advance of said te1mination date. As soon as possible after receipt of such notice, Owner and Operator shall inspect said Designated Roads and appurtenances, including surrounding property of Owner. After final inspection of said roads, appurtenance and surroundings, the parties shall meet and all required restorations, repairs, and work that is required pursuant to the terms of this Agreement shall be identified and thereafter completed by the Operator at Operator’s sole expense. Following completion of all restoration work, Owner shall inspect and
approve the same. Following approval by Owner, this Agreement shall be terminated with the exception of the extension of the performance bond for two (2) years as heretofore provided for in this Agreement.
If either party chooses to terminate this agreement, any existing permits shall be terminated
and shall no longer be in effect.
Binding Effect:
